Terms of Service

1. Acceptance of Terms

By accessing or using the InvoiceNag platform ("Service") operated by InvoiceNag LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

InvoiceNag is an automated invoice management and SMS payment reminder platform for contractors and small businesses. The Service allows you to create invoices, send automated payment reminders via SMS, and accept payments from your customers through integrated payment processors.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to use the Service.

4. Subscription and Payment

  • The Service is available with a 14-day free trial, after which a monthly subscription fee of $20/month applies.
  • Subscription payments are processed through Stripe and are billed monthly.
  • You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
  • Refunds are not provided for partial billing periods.

5. SMS Messaging

  • You are responsible for obtaining proper consent from your customers before adding them to the platform and sending SMS reminders.
  • You agree to comply with all applicable laws and regulations regarding SMS communications, including the Telephone Consumer Protection Act (TCPA).
  • You will not use the Service to send spam, harassing, or unlawful messages.
  • Customers may opt out of SMS messages at any time by replying STOP.

6. Payment Processing

  • Payment processing is provided by Stripe and is subject to Stripe Connected Account Agreement.
  • By using payment features, you agree to Stripe's terms and conditions.
  • Processing fees may apply to payments received through the platform. These fees are set by Stripe and may be passed through to your customers where legally permitted.
  • InvoiceNag is not responsible for payment disputes, chargebacks, or failed transactions.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Send fraudulent invoices or misrepresent amounts owed
  • Harass or threaten customers through the platform
  • Attempt to gain unauthorized access to the Service or its systems
  • Use the Service to collect debts that are not legitimately owed to you
  • Violate any applicable laws, including debt collection regulations

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by InvoiceNag LLC and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of all data you input into the Service.

9. Limitation of Liability

To the maximum extent permitted by law, InvoiceNag LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not guarantee that SMS messages will be delivered to all recipients.

11. Indemnification

You agree to indemnify and hold harmless InvoiceNag LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of New Jersey.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
